David R. Werbel

David has practiced Corporate, M&A, International Transactions, Compliance and Securities law for over 20 years and has experience in over 50 jurisdictions globally. Most recently he served in senior roles at leading public and private companies, including as Vice President and Deputy General Counsel (International Game Technology PLC – NYSE) and General Counsel and Chief Operating Officer (Forensic Risk Alliance, Inc.). Prior to his in-house experience, David was a M&A, Corporate and Securities attorney at Stroock & Stroock & Lavan and Schulte Roth & Zabel in NYC and Adler Pollock and Sheehan in RI where he worked on M&A, Private Equity and Venture Capital transactions.
David is focused on creating value, problem-solving and assessing and mitigating risk for his clients with a practical and business-oriented approach. David advises in the following areas:
- Mergers and Acquisitions, Joint Ventures and other Strategic Public-Private Partnerships
- Technology Transactions, including SaaS, AIaaS, development agreements and software licenses
- Corporate law advice in connection with business start-ups and subsequent financings, organizational governance, employment, compliance and operations
- Compliance program development in the areas of anti-corruption, corporate governance, financial integrity, privacy and data security and employee matters (immigration, harassment and internal investigations)
David has a JD degree from New York Law School where he was a Moot Court Executive Board Member and a 2 year participant in the Philip C. Jessup International Law Moot Court Competition. He also has a MA degree in Political Science from The American University and a BA degree in English from Hobart College.
David is admitted to practice in New York and Rhode Island and is also a Certified Information Privacy Professional/Europe.
